IDENTITE , INC. END USER LICENSE AGREEMENT
®
This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or an entity) and Identité®, Inc. By purchasing, and/or downloading, and/or using any of our Products, you agree to be bound by the terms of this EULA. Identité®, Inc shall grant End User a limited, non-transferable and non-exclusive right to use, during the term of the End User Agreement, the Software.
Grant of License
NoPass™ Consumer/NoPass™ Employee MFA /NoPass™ Employee SSO / NoPass™ SDK Version. After you have purchased the NoPass™ Consumer/NoPass™ Employee MFA /NoPass™ Employee SSO / NoPass™ SDK License for Product/Plugin, and have received the file of NoPass™ Consumer/NoPass™ Employee MFA /NoPass™ Employee SSO / NoPass™ SDK Version from here on known as Software, you are licensed to install the Software only into the number of website(s) corresponding to the license you purchased. You may not duplicate the License or Software in whole or in part. You may not redistribute, modify, or resell the Software in any way without the written permission of Identité®, Inc. You may not rent, lease, or lend the Software. You may not use the Software in any other Software or application that competes with the products and services of Identité®, Inc.
Your membership
During your purchase and entitlement to use our Software, we reserve the right to monitor levels of your membership activity and take any necessary action in the event of abnormal usage being detected.
Privacy Terms
NoPass™ server doesn’t collect & store any personal data except registration and license data, NoPass™ serves for the registration / login / transaction / authentication / deletion between your application/website and your users/employees. NoPass™ SSO server/extension serves for the registration / login / transaction / authentication / deletion between your application/website Identity Provider.
Restrictions
End-User shall agree to not, for itself, any affiliate of End User or any third party: sell, license, assign, or transfer the Software; decompile, disassemble, or reverse engineer the Software; copy the Software in any way without the written permission of Identité®, Inc.
End-User shall agree to not: (a) alter any aspect of the Software; (b) assign, transfer, distribute, or otherwise provide access to the Software to any third party; or (c) export, re-export or permit any third party to export or re-export the Software outside of the End User’s country.
Prohibited use
You may not use the Software on website(s) and/or webpage(s) that contain inappropriate, unlawful, illegal, or offensive content.
Termination
Without prejudice to any other rights, Identité®, Inc. may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software.
Copyright
The NoPass™ (Software) line is owned by Identité®, Inc. and is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold, to you for use solely subject to the terms and conditions of this Agreement.
Limited Warranty
The software is provided “as is” without warranty of any kind, either express or implied, including, but not limited to warranties of merchantability or fitness for a particular purpose. In no event will the author or authors be liable to you for any damages, including incidental or consequential damages, arising out of the use of the software, even if advised of the possibility of such damages. You acknowledge that you have read this license, understand it, and agree to be bound by its terms as the complete and exclusive statement of the agreement between us, superseding any proposal or prior agreement, oral or written, and any other communications between us relating to the subject matter of this license.
Limitation of Liability
In no event shall Identité®, Inc. Or its suppliers be liable to you for any consequential, special, incidental, or indirect damages of any kind arising out of the delivery, performance, or use of the plugin, even if Identité®, Inc. has been advised of the possibility of such damages. All legal issues should be judged by the court indicated by Identité®, Inc.
Compliance with laws
End User shall agree to comply with all applicable laws, regulations, and ordinances relating to its performance and the exercise of its rights under the End User Agreement.
Changes to this Agreement
We reserve the rights to make changes to this agreement without any prior notice at our sole discretion.
